Why is PH negotiating with China if this is not be sovereign states?
You are only half-right. In China, many companies are state-owned but those that invest overseas sometimes act as private entities even if their top leadership may be ultimately more answerable to Beijing than their shareholders or clients.

Manila is walking a tightrope in inviting Beijing to explore jointly the Reed Bank. Deftly must it balance pressing economic needs against lasting sovereign interests. Only then can it craft a deal that will stand legal scrutiny.

Reed Bank is touted as the answer to the Philippines’ energy quest. The 8,866-square-kilometer submerged tablemount lies on the Palawan shelf. Underneath is fuel to run factories and light up homes for centuries. At the southeastern corner alone is Sampaguita Field, proven to hold 4.5 trillion cubic feet of natural gas and millions of barrels of oil. Luzon’s present gas source for nearly half its electricity, Malampaya Field farther south, is to run out in a decade. Sampaguita must be developed this early as alternative. Gas extraction could be easy, in sea depths of only nine to 45 meters. Inaction would be ruinous: ten-hour daily blackouts in Luzon, then economic collapse.

The government in fact had assigned Sampaguita for exploration in 2010. London-based Forum Energy, later acquired two-thirds by Filipino Philex Petroleum, swiftly completed seismic surveys. It was preparing to bore two test rigs in 2012 when Beijing dispatched armed vessels to interlope. Supposedly China owned the area by ancient historic right. It delineated such claim via a nine-dash map encompassing the whole South China Sea, debarring the Philippines and four other neighbors.

The Ph negotiating team would consult with the Supreme Court and congress before agreeing to any final deal. It is not legally feasible, the Ph should also be prepared to use maybe nuclear or lots of solar energy as an alternative.

"I think the best estimate I have gotten is from (Foreign Affairs) Secretary (Alan) Cayetano that we are trying to see if we can achieve an agreement, hopefully, within the next couple of months but, as always, in negotiations, we can never predict. If it's necesary to take a longer time. We will take our time as long as we meet our objectives," Sta. Romana told journalists on Monday.

Baka soon ssbihin ng kung sino, "e kung hindi tayo magpaparaya walang maigiging peace at walang magagawa (dahil duwag ako) and Pilipinas. Baka bombahin pa tayo ng China kaya ba natin". Let's see their word of honor, if these upper personalities have that word-of-honor. Or baka it will lead to a lawyer-that-does-not-know-law.

Foreign Affairs Secretary Alan Cayetano said the Malampaya project will be "running out" in a couple of years and the demand for liquefied natural gas is growing.

"If it's acceptable by both sides, we could see the joint exploration done soon," Cayetano told reporters Wednesday here.

If they can send it back to us the next day, and they say they agree, then we can start drafting the MOU (memorandum of understanding) or the agreement, and vetting it for official OK,” he added.
